what is difference of this two model? W800H-1AV and W800HG-9AV ??

The W800H-9AV has a gold LCD screen and gold trim band. The W800H-1AV has a silver LCD and a blue trim band. I don't think that is clear in the description or photos.

Does water resistant mean water proof to 300 feet?

Generally, the watch will be water resistant to that depth or water pressure level.
